2. Service Engagements
All specific service engagements are subject to a separate Master Service Agreement (MSA) or Statement of Work (SOW). Those documents will outline specific deliverables, timelines, and payment terms. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail.
3. Intellectual Property
- Our Content: All content on kitechnology.com, including text, graphics, logos, and code, is the property of KI Technology and is protected by copyright laws.
- Work Product: Unless otherwise agreed in writing in an SOW, KI Technology retains ownership of any pre-existing code, methodologies, or tools used to provide the services. Client ownership of final deliverables will be defined in the specific service contract.
4. Client Responsibilities
Clients are responsible for:
- Providing accurate information and timely access to necessary systems/data.
- Maintaining the confidentiality of any login credentials provided for our platforms.
- Ensuring they have the legal right to any data they provide to us for processing or analysis.
5. Fees and Payment
- Consultation fees and service costs are as quoted in your specific proposal.
- Payment is due according to the schedule outlined in your invoice.
- Late payments may result in a suspension of services or interest charges as permitted by law.
6. Limitation of Liability
To the maximum extent permitted by law, KI Technology shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profits) arising out of the use of our services or website. Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.
7. Confidentiality
Both parties agree to keep all proprietary information, business strategies, and data shared during the engagement confidential. This obligation survives the termination of the service agreement.
8. Third-Party Services
Our services often involve third-party platforms (e.g., Microsoft Azure or Cloud services). Use of these services is subject to the respective third-party's terms. We are not responsible for outages or changes in policy made by these third-party providers.
9. Termination
We reserve the right to terminate access to our website or services for any user who violates these Terms or engages in fraudulent or illegal activity.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of State of Oregon, without regard to its conflict of law principles.
